Terms & Conditions

TERMS AND CONDITIONS

When using the software c-lab.pt, the user agrees to be bound by the following terms and conditions reproduced below.

For the purposes of this agreement, the following terms have the definitions and scope referred to here:

  • Access to the software: The software is accessed by the user (the client) through the Internet using any browser.
  • User account: User’s email address.
  • Access address: Website https://www.b-online.pt/ or http://www.b-image.pt/ or https://www.c-lab.pt/ or another address provided by the service provider.
  • Software location: The software is installed on a server of the service provider, b-online.
  • Service payment: The client pays a rental fee for the use of the software for the contracted period.
  • Service provider: B-online – Sistemas de Informação, Lda.
  • B-ONLINE Products: Billing and treasury management software (b-Start, b-Light, b-strong, b-power), optimization tools for accounting processes (b-toc and c-lab), management tools (transport guides, time management, budget control, expense management, API), and communication and flyer software.
  • Software ownership: The software is the property of the service provider, b-online.
  • Service: SaaS – software as a service – software rental service.
  • User: Individual or legal person who contracts access to the service.

 

A) Service Provision Terms:

  1. b-online reserves the right to update and change the terms of service periodically and without prior notice, with such changes communicated to the user via email and effective from the first day of the following month. If the user does not agree with the changes, they have the right to terminate the use of b-online software at the end of the month of notification of the change, without any penalty or indemnity.
  2. By using the service after the changes to the terms and conditions of service come into effect, the user expressly accepts and agrees to such changes.
  3. The user can consult the updated version of the terms of service at any time by accessing https://www.b-online.pt/terms-conditions.
  4. Violation of any of the conditions set forth in the terms of service gives b-online the right to terminate the account of the infringing user.
  5. Any functionality that enhances or improves the current service, including the release of new features and resources, is subject to the conditions set forth in the terms of service.
  6. The user accepts and agrees that b-online cannot be held responsible for any content they enter into the service.
  7. The user expressly accepts that they assume their own risk in using the service.

 

B) Account Terms of Use:

  1. In order to subscribe to the service, the proposing user of the service must provide their full identification (name or company name, address or registered office, tax number), a valid email address, and any additional information requested by the service provider.
  2. The account login can only be used by one user, and sharing a single login among multiple individuals is not allowed.
  3. The user is solely responsible for maintaining the security of their account and personal, individual, and private password. b-online cannot be held responsible for any loss or damage resulting from the user’s failure or inability to comply with this security obligation.
  4. By disclosing information generated in the software, the user declares to be the owner of such content, thereby releasing b-online from any and all liabilities, of any nature, including fiscal or parafiscal liabilities.
  5. The user may not use the service for any illegal, unlawful, fraudulent, or unauthorized purposes.

 

C) Terms of Use:

  1. The customer is solely responsible for deciding to increase or decrease the number of users on their account.
  2. The user expressly understands and agrees that b-online cannot be held liable, in any capacity, for damages of any kind resulting from the user’s use of the software or from a third party accessing the user’s data through the software.
  3. b-online reserves the right to temporarily suspend access to the service (or any part thereof), with or without prior notice, for technical reasons beyond its control.
  4. b-online may suspend the service or part thereof whenever it deems necessary to modify or correct the software, informing the user of such changes through reasonably understandable means. The user expressly agrees that b-online will automatically provide them with the changes and corrections as part of the service.
  5. In the event that the service is permanently discontinued, b-online will inform the user at least 120 days in advance of the effective date of discontinuation. For clients who, at the time of discontinuation, wish to continue using the products covered by this event in order to complete ongoing accounting operations, the discontinuation will take effect 90 days after the end of the accounting period.
  6. During the notice period, it is the customer’s responsibility to retrieve all information through the available means in the application. After the account is closed, b-online will permanently and irreversibly delete all existing data in the application, except as provided in the following clause.
  7. At the customer’s explicit request, made prior to the account closure date, b-online will provide access to consult the existing data in the application by subscribing to archival and consulting services for a period chosen by the customer from the options made available by b-online.
  8. The customer is responsible for activating the consultation service before the license expires. In the event that the license has expired and the customer wishes to activate one of the consultation modalities, they may request the provision of this service from b-online, subject to prior payment and subject to the actual availability of the data, considering that the license may have already been deleted, as provided in point 6 above.
  9. b-online shall not be liable to the user or any third party for any damages that may result from or be caused by the termination or suspension of the account and/or the user’s access to the service.

 

D) Usage Limitations:

– B-Light, B-Strong, and Só Guias:

  • In licenses with unlimited documents, the database storage space is 3GB.
  • For each additional GB, b-online will charge an annual fee for database hosting and maintenance service.
  • The availability of entered data is unlimited.

– B-TOC:

  • Above the contracted record limit, b-online will charge an additional annual fee for additional record packages.
  • Data availability is unlimited.

– Management Tools:

  • The record limit for the base license is 250,000.
  • Above 250,000 records, b-online will charge an annual fee for database hosting and maintenance service.
  • Data availability for entered data is unlimited.

– B-Image:

  • The creation of flyers and communication materials is unlimited.

– C-Lab:

  • Limitation on the number of records – There is no limit.
  • Limitation on the type and size of document images: it allows importing files in .pdf, .jpeg, .jpg, .png formats or others defined by B-online and indicated within the platform, with a size not exceeding 2MB.
  • Each license may be limited to a maximum number of users and/or companies when it comes to ensuring the product’s quality of use.
  • Larger licenses may be distributed among multiple licenses.
  • The monthly fee includes the cost of database hosting and maintenance service.

E) Payment, Refund, Upgrade, and Downgrade Terms:

  1. The prices of b-online software are provided upon request, directly with the customer, or disclosed in the tables on the website https://www.b-online.pt/ and https://www.c-lab.pt/preco/.
  2. The prices for software renewal are published in the “License” menu, under the “Renew License” option within the respective programs.
  3. Payment for the service will be made through bank transfer, ATM, credit card, or PayPal, according to the options made available by b-online for each of its products.
  4. The service price is charged in advance, according to the contracted periodicity, and is non-refundable.
  5. If the customer wishes to add one or more users to their account, they will be charged a proportionate amount based on the remaining time until the expiration date of the contracted package. In the case of the C-Lab product, the service price will be billed monthly, with the price determined at the end of each month, effective for the following month, based on the number of users and companies. Additional services, such as training and setup for the use of C-Lab, will be charged separately based on customer requests and provided upon quotation.

If the customer wishes to upgrade an application, they will be charged the price difference according to the current package rates.

F) Copyright and Content Ownership:

  1. All copyright and ownership rights of the software are reserved by b-online. The user acknowledges that the service contains protected and confidential information that is governed by applicable laws.
  2. The user may not duplicate, copy, reproduce, redistribute, or reuse any part of the software, service, account, or visual design elements or concepts without express written permission from b-online, under penalty of civil and criminal liability.
  3. b-online does not claim intellectual property rights over the data that the user enters into the service.
  4. b-online is obligated to maintain confidentiality and not disclose, by any means, unless required by a court order, the data entered by the user in the use of the software to which it may have access.

 

G) General Conditions:

  1. The user assumes their own risk in using the service. The service is provided “as is” and “as available”.
  2. Technical support is provided via email to active users and account holders.
  3. The service is provided over the Internet, and b-online is not responsible for connectivity failures and the inherent inability to use the service.
  4. b-online does not guarantee that the service will meet the specific needs of the user or that the service will be uninterrupted, timely, secure, or error-free.
  5. For any and all matters arising from the application, interpretation, or execution of this contract, the courts of Lisbon shall have exclusive jurisdiction, with express waiver of any other jurisdiction.
